SKY LAW ADVOKATFIRMA’S TERMS AND CONDITIONS

Unless otherwise agreed in writing, these terms and conditions apply to any task for which the client requests Sky Law's assistance in resolving.

 

RECEIPT OF THE TASK

Task description:

Upon receiving a case, we generally send an acknowledgment and a description of the task. Unless the client requests otherwise, we may omit this step if the client is a business entity that has already provided us with a task description, if the task is not extensive, or if it requires immediate attention.

 

Conflict of interest:

When we receive the task, we ensure, in accordance with the rules of the Danish Bar and Law Society and our internal conflict of interest procedures, that there is no disqualification or conflict of interest. Should disqualification or conflict of interest arise during a case, requiring us to withdraw from the case, we are happy to assist in referring the client to another attorney.

 

KYC and money laundering:

Like all other law firms, we are subject to the Danish Act on preventive measures against money laundering. To comply with this Act, we are liable to obtain KYC (Know Your Customer), i.e. proof of identity, from both new clients and existing clients who have not previously provided KYC details.

 

FEES AND PAYMENT

Fees:

Sky Law aims to perform tasks at a fee which is reasonable in relation to the value of the case and the effort required to resolve it. In this regard, we always strive to handle the task at the appropriate level.

 

Determining an attorney's fee involves several different parameters:

In accordance with generally accepted Danish practice, our fees are calculated based on factors such as the time spent on the task, the degree of specialized knowledge required to solve the task, the experience of the lawyers involved, the size of the assets involved, the importance of the task to the client, the achieved result, and the associated liability. It can be challenging to estimate a fee based on the above parameters upon receiving the task, but in accordance with the rules of the Danish Bar and Law Society, upon request – however always towards consumers - we provide a reasoned estimate and information about expected expenses and fees. Furthermore, it can be agreed that the client is notified every time a specific amount interval is exceeded. Sky Law continuously develops a range of additional services, including digital services, to which the client can purchase access during the client relationship. Depending on the additional services chosen by the client, the fee will be adjusted.

 

Invoicing:

At the establishment of each client relationship, an agreement is made regarding invoicing. As our client relationships often span over a longer period, we may agree to settle a monthly fee determined on the basis of the client's needs and preferences. In other cases, a single invoice is issued upon completion of the task. Long-term tasks are accounted for on account with shorter or longer intervals, usually every month, every third month, or every sixth month, unless otherwise agreed. The payment terms are 8 days from the invoice date, and applicable taxes are added. In case of late payment, we calculate interest in accordance with the rules of the Danish Interest Act.

 

Prepayment:

If we receive prepayment for fees, expenses, or costs, such amounts are deposited into our client account. These amounts, including any accrued interest, are used to settle future invoices or expenses unless otherwise agreed. As a rule, we require prepayment of expenses and costs, and exceptionally, prepayment of fees.

 

Expenses:

In addition to the fee, the client pays for costs and expenses incurred in the execution of the task. Such costs and expenses may include, but are not limited to, court filing fees, expert witness fees, travel expenses, photocopying, courier services, and any other expenses directly related to the case. We provide the client with an itemized statement of these expenses.

 

CONFIDENTIALITY

Everyone at Sky Law is bound by confidentiality obligations. Any information received in connection with an assignment is treated as confidential unless the circumstances indicate that it is not of a confidential nature.

 

INSIDER TRADING

Everyone at Sky Law is subject to the applicable legislation prohibiting the disclosure of insider information about listed companies and restrictions on trading in listed securities, as well as a set of rules established by the firm regarding this matter.

USE OF OUR ADVICE

Our advice is tailored for the specific purpose and may not be used for any other purpose without our explicit prior acceptance. Unless otherwise agreed, we are solely responsible to the client for the advice provided.

 

CLIENT ACCOUNT

The lawyers at Sky Law manage all client funds in accordance with the rules of the Danish Bar and Law Society. Balances in client accounts are subject to a general limit of EUR 100,000, as stipulated by the Act on a depositor and investor guarantee scheme for coverage in the event of a bank's insolvency.

The coverage maximum applies to the total deposits in the bank, even if the money is held in different accounts, including both client bank accounts and personal accounts.

Sky Law is not liable for deposits in client bank accounts if a financial institution becomes distressed.

 There are specific rules regarding real estate where the coverage maximum is higher. In this case, the guarantee covers up to 10 million EUR, for up to 12 months after the amount is deposited, regardless of whether the deposit is held in different accounts.

These rules are relevant to clients because the lawyers at Sky Law may have significant funds in the client account during the handling of cases.

 

COMPLETION OF THE ASSIGNMENT 

Generally, we carry out the assignment until its natural conclusion or until the client requests that we terminate it. However, we reserve the right to terminate our assistance promptly if the credit period for our invoice has been significantly exceeded despite reminders, or if the client becomes insolvent. We reserve the right to withdraw from a case if, in exceptional circumstances, we no longer believe we can assume responsibility for handling the matter, or if we believe it is in the client's interest for us to cease helping. The client will be promptly informed in such cases.

Original documents are typically returned no later than upon completion of the assignment, and we retain the case for at least five years from the invoice date.

 

COMPLAINTS 

If our assistance or fees do not meet the client's expectations, we encourage the client to contact the partner with whom they have entered into an agreement for legal assistance.

The lawyers at Sky Law are subject to the supervision and disciplinary system of the Danish Bar and Law Society and the rules of good legal practice, as stipulated in Section 126 of the Administration of Justice Act. In addition, the rules of legal ethics apply. The specific rules governing the legal profession can be found on the Danish Bar and Law Society's website at www.advokatsamfundet.dk.

If an agreement cannot be reached regarding a dispute over fees charged by Sky Law, or if there is dissatisfaction with the conduct of one of the lawyers, the client may lodge a complaint regarding the amount of fees and/or the conduct to:

CHOICE OF LAW AND JURISDICTION 

Any dispute between a client and Sky Law shall be resolved in accordance with Danish law in the competent Danish court.

 

LIABILITY AND INSURANCE COVERAGE 

Sky Law is liable for our assistance to our clients in accordance with the general rules of Danish law. Sky Law has obtained liability insurance and provided a guarantee in accordance with the rules established by the Danish Bar and Law Society. The liability insurance covers all legal activities regardless of where they are conducted. 

The liability, including the liability of any partners and lawyers, is limited to the maximum coverage of the insurance. The maximum coverage is DKK 3 million per year, and the total amount of compensation to a client for damages cannot exceed this amount. It should be noted that any other claims may therefore reduce the coverage maximum.

At the beginning of a new case, the client is encouraged to consider whether there is a need or desire for greater insurance coverage and to promptly inform us of this. If so, additional coverage will be obtained for the specific case, and the costs associated with it will be borne by the client.

Under no circumstances does our liability include economic consequential loss, including operating loss, loss of data, lost profits, goodwill, reputation, etc., or any other form of indirect loss.

Sky Law Advokatfirma does not use contractual clauses on applicable law and/or venue unless agreed in writing with the client.

The lawyers at Sky Law Advokatfirma are subject to the Danish Bar and Law Society's supervisory and disciplinary system and to the rules on good legal practice, cf. section 126 of the Danish Administration of Justice Act (“retsplejeloven”). In addition, the Code of Conduct applies. The rules that apply specifically to the practice of the profession of lawyer can be found on the website of the Danish Bar and Law Society www.advokatsamfundet.dk.

In the event of a dispute about fees charged by Sky Law Advokatfirma, the client may complain about the amount of the fee to the Danish Bar and Law Board, Kronprinsessegade 28, 1306 Copenhagen K, www.advokatnaevnet.dk. The Bar and Law Tribunal is also competent to hear conduct complaints against lawyers.
